Referral fees, if any, are described only in the Academy's Referral Compensation Schedule, which may be updated from time to time with notice as set out in the Agreement—not on this page.

This Student Recruitment and Referral Agreement ("Agreement") is entered into as of the Effective Date by and between:
Mind Orbit Academy, a Florida-registered private K–12 online school, with email mindorbitacademy@mind-orbit.org ("Institution"), and

1. PURPOSE
The purpose of this Agreement is to allow the Partner to refer prospective students to the Institution for possible enrollment. If the Institution accepts a referred student and a referral fee is earned under the Institution’s then-current Referral Compensation Schedule, the Partner may be paid as described in that Schedule. The Partner is an independent contractor, not an employee, agent, joint venturer, or partner of the Institution. The Partner has no authority to bind the Institution.
2. INDEPENDENT CONTRACTOR
The Partner is solely responsible for taxes, insurance, licenses, and compliance with applicable law (including Florida law). The Partner is not entitled to employee benefits. The Partner may not represent themselves as an employee or official spokesperson of the Institution without prior written authorization.
3. SCOPE OF REFERRAL ACTIVITIES
The Partner may only refer prospective families to the Institution using procedures and materials the Institution provides or approves in writing. The Institution retains sole discretion over admissions, enrollment, tuition, curriculum, eligibility, refunds, and all student decisions. The Partner shall not provide academic instruction, counseling, legal advice, immigration or visa advice, or financial guarantees. The Partner shall not promise admission, outcomes, scholarships, or visa eligibility.
4. REFERRAL COMPENSATION (NON-BINDING RATES IN THIS DOCUMENT)
4.1 Schedule. Any referral fee, percentage, or payment formula is set only in the Institution’s Referral Compensation Schedule ("Schedule"), which may be updated from time to time. The Institution may change the Schedule prospectively upon not less than fourteen (14) days’ prior notice by email to the Partner or by posting on the Institution’s website. The Schedule in effect when the referred student’s enrollment is complete and the Institution has received the tuition payment required by the Schedule for that referral governs that referral.
4.2 Conditions. The Institution pays referral fees only for students the Institution verifies as referred by the Partner under its tracking process, enrolled, and paid according to the Schedule. The Institution may withhold payment during disputes, investigations, suspected fraud, or Partner non-compliance.
4.3 Taxes. The Partner is responsible for all taxes. U.S. Partners may receive IRS Form 1099-NEC when required by law.
4.4 One-time / first year. Unless the Schedule expressly states otherwise in writing, referral fees are limited as described in the Schedule (often first year only).
4.5 Referral records and verification. The Partner must submit accurate referral information using forms, portals, or instructions the Institution designates. The Institution will verify enrollment and tuition receipt before paying any fee. The Institution may audit referral records at any time and may withhold or claw back payments that are duplicate, inaccurate, fraudulent, or not traceable to an approved referral.
5. PARTNER OBLIGATIONS
The Partner shall act ethically, lawfully, and honestly; use accurate, Institution-approved information; protect confidential student and Institution information; promptly update contact and business status changes; and submit referrals using Institution-designated forms or methods.
6. LIABILITY; INDEMNIFICATION
THE INSTITUTION PROVIDES NO WARRANTY REGARDING EARNINGS OR NUMBER OF REFERRALS. The Partner assumes full responsibility for the Partner’s marketing and communications. The Partner shall indemnify, defend, and hold harmless the Institution and its owners, officers, directors, employees, and agents from claims, losses, and expenses (including reasonable attorneys’ fees) arising from the Partner’s acts or omissions, misrepresentations, or violations of law. The Institution is not liable for the Partner’s conduct or for immigration, legal, or financial matters involving referred families.
7. CONFIDENTIALITY
The Partner shall keep student and non-public Institution information confidential and use it only for permitted referral activities. Breach may result in termination and forfeiture of disputed fees.
8. TERM; TERMINATION
This Agreement begins on the Effective Date. Either party may terminate with thirty (30) days’ written notice. The Institution may terminate immediately for material breach, misconduct, legal risk, or failure to comply with Florida or federal requirements. Termination does not affect fees that were earned and verified under the Schedule before termination, subject to audit and clawback for fraud or error.
9. REGULATORY CHANGES; RISK DISCLOSURE
Florida and federal education and consumer rules may change. The Partner remains responsible for lawful conduct. The Institution may suspend referral privileges or modify requirements to remain compliant. Referral fees are not guaranteed.
10. DATA PRIVACY
Personal data submitted in connection with this Agreement is processed as described in the Institution’s Privacy Policy and related policies (see the Academy website). By signing, the Partner acknowledges review of those materials.
11. GOVERNING LAW
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.
12. DISPUTE RESOLUTION
The parties will attempt good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in Florida under the Commercial Arbitration Rules of the American Arbitration Association, except the Institution may seek injunctive relief in court for confidentiality, IP, or misuse of name/logo.
13. MISCELLANEOUS
This Agreement (with the Schedule and policies referenced on the website) is the entire agreement regarding referral compensation described herein. Amendments must be in writing signed by the Institution. The Partner may not assign this Agreement without the Institution’s prior written consent. If a provision is unenforceable, the remainder remains in effect. Electronic acceptance and email records are valid. Notices to the Partner may be sent to the email address on file; the Partner is responsible for keeping contact information current.
